# Terms and Conditions ShowCaller

Article 1. Definitions
- ShowCaller: The SaaS service provider, part of VidéPro B.V., located in Lelystad, that provides the software.
- The Customer: The natural or legal person who subscribes to ShowCaller.
- The Service: The online application for show-calling, cue-management and script synchronization via showcaller.online.
Article 2. The Service (SaaS)
- ShowCaller offers a "Software as a Service" (SaaS) platform. The software is not sold, but licensed for the duration of the subscription.
- ShowCaller makes an effort to keep the service available 24/7 ("Effort Obligation"), but does not guarantee 100% uptime, given the dependence on internet connections, third parties (such as hosting providers) and the nature of online software.
Article 3. AI-First Disclaimer (Important!)
- AI Support: ShowCaller presents itself as an "AI-First" company. This means that core functions (such as time calculations, script summaries, translations and suggestions) are powered by Artificial Intelligence (Google Gemini).
- Human Control: The Customer acknowledges that AI generations are probabilistic and may contain errors ("hallucinations"). The Customer (or the end user/operator) remains ultimately responsible for checking the cues, times and texts generated by ShowCaller before and during a live production.
- No Liability: ShowCaller is not liable for damage caused by blindly following incorrect, incomplete or inaccurate AI suggestions in a live environment.
Article 4. Data, Hosting & Privacy (GDPR)
- European Hosting: ShowCaller hosts all data, scripts and personal data exclusively on servers within the European Economic Area (EEA) or the US under appropriate security measures, specifically using Google Cloud Platform / Firebase.
- Data Ownership: The scripts and show data remain the intellectual property of the Customer. ShowCaller does not use this data to train public AI models without explicit permission.
- Backups: Although ShowCaller makes backups, the Customer is responsible for having their own (offline) backup (for example, a PDF export or Excel file) of critical show scripts prior to an event.
Article 5. Use & Security
- The account is personal or company-related. Login details may not be shared with third parties outside the organization.
- It is not permitted to use ShowCaller for illegal content, content that infringes copyrights or content that is harmful to ShowCaller's servers.
Article 6. Liability (The "Live Show" Clause)
- Tool: ShowCaller is a digital tool for show direction, not a replacement for professional personnel or technical insight.
- Limitation: The total liability of ShowCaller for direct damage is limited to a maximum of the amount that the Customer has paid in subscription fees in the past three (3) months.
- Exclusion: ShowCaller is explicitly not liable for indirect damage, consequential damage, lost profit, reputational damage or damage due to a failed event as a result of a software malfunction, bug or internet outage.
Article 7. Payment & Cancellation
- Subscriptions are invoiced in advance.
- Cancellation is possible monthly via the account portal. There is no refund for periods already paid.
- In the event of late payment, ShowCaller reserves the right to (temporarily) suspend access to the Service.
Article 8. Applicable law
- These terms and conditions are exclusively governed by Dutch law.
- Disputes will be submitted to the competent court in the district where VidéPro B.V. is located.
By using ShowCaller, you confirm that you have read, understood and agree to these Terms and Conditions. You understand that ShowCaller is an AI-First application where human control remains necessary.
